Vendor Portal Terms & Conditions

1Acceptance of Terms
By signing in to or otherwise using the Value Transports vendor portal (the “Vendor Portal”), you agree to be bound by these Terms and Conditions on behalf of yourself and the carrier, vendor, or other transportation provider for which you are acting (the “Vendor”). If you do not agree to these Terms, do not use the Vendor Portal.
These Terms apply to every individual the Vendor authorizes to access the Vendor Portal, including dispatchers, drivers, billing contacts, compliance staff, and administrators.
If a separately signed carrier agreement, broker-carrier agreement, vendor agreement, or other written contract between Value Transports and the Vendor conflicts with these Terms, that signed agreement controls for the subject matter it covers.
2Purpose of the Vendor Portal
The Vendor Portal is the workspace through which Value Transports communicates load opportunities, exchanges shipment documentation, tracks freight status, manages compliance records, and processes settlement information with the Vendor. It may include load offers, quote submission, BOL and rate confirmation downloads, document uploads (POD, COI, W-9, banking instructions, accident or claim records), invoicing, payment status, location records, messaging, analytics, and notifications.
The Vendor Portal is software and is intended to support — not replace — the underlying transportation contracts, tariffs, bills of lading, rate confirmations, and applicable law that actually govern any shipment.
3Vendor Accounts & Access
- You must be at least 18 years old, legally authorized to act for the Vendor, and use the Vendor Portal only for lawful business purposes related to transportation services performed for or with Value Transports.
- The Vendor is responsible for every action taken under its account, including by users it invited, drivers it added, sub-contractors it allowed to log in, and anyone using its credentials.
- You must keep credentials confidential, sign out of shared devices, and immediately notify us at [email protected] if you suspect unauthorized access.
- The Vendor must promptly remove access for any user who leaves, changes role, or is no longer authorized to act on its behalf.
- Value Transports may suspend or terminate access to the Vendor Portal at any time for security, fraud, compliance, double-brokering, payment-instruction tampering, or other operational risk reasons.
4Quotes, Rate Confirmations & Load Acceptance
Quotes you submit through the Vendor Portal are offers to perform transportation at the rate, equipment, accessorials, transit, and conditions you specify. A binding load award occurs only when a rate confirmation, load tender acceptance, or other written transportation document is issued and not when a quote is merely typed into the Vendor Portal.
Once a load is awarded, the rate confirmation, the underlying bill of lading, the broker-carrier agreement (if any), and applicable law together govern the shipment, including pickup, transit, accessorials, detention, layover, truck ordered not used, reconsignment, redelivery, claims, and payment terms.
You agree not to broker, re-broker, co-broker, or otherwise transfer freight tendered to you to another motor carrier without Value Transports’ prior written consent.
5Vendor Information & Compliance
You are responsible for the accuracy, completeness, and currency of every record you submit through the Vendor Portal, including company information, MC and DOT numbers, operating authority, insurance certificates, W-9, EIN, banking instructions, driver and equipment details, safety records, hours-of-service compliance, hazmat endorsements, and contact information.
- You must comply with all applicable transportation, tax, privacy, hazmat, sanctions, and record-retention laws and regulations, including FMCSA, DOT, IRS, and state regulator requirements.
- You must not upload false, expired, suspended, revoked, altered, or fraudulent authority documents, insurance certificates, W-9s, banking instructions, safety records, or photographs.
- You must keep your insurance, authority, and identification documents on file in the Vendor Portal current and notify us immediately of any change in operating status, insurance lapse, suspension, revocation, or material safety event.
6Documents, BOLs, PODs & Communications
The Vendor Portal allows you to download, upload, and exchange shipment documentation, including bills of lading, rate confirmations, proofs of delivery, lumper receipts, scale tickets, accessorial backup, photos, and damage records. You consent to electronic delivery, signing, and acknowledgement of these documents and communications.
You agree to upload required documentation promptly after pickup and delivery, in legible form, with all required signatures, stamps, and exception notations. You will retain originals as required by law and produce them on reasonable request in connection with a claim, audit, or dispute.
Communications sent through the Vendor Portal (in-app messages, status updates, email notifications) are part of the operational record. You should not rely on the Vendor Portal as the exclusive channel for time-sensitive emergencies — in that situation, contact Value Transports by phone in addition to the portal.
7Payments & Banking Instructions
Settlement is governed by the rate confirmation, the broker-carrier agreement (if any), and applicable law. The Vendor Portal displays invoices, deductions, payment status, and remittance history for operational convenience; final amounts depend on the documents the Vendor submits and the services actually performed.
Banking instructions and payee information must be added or changed only by an authorized representative of the Vendor through the Vendor Portal or another secure channel approved by Value Transports. Value Transports is not responsible for amounts paid in good faith based on fraudulent banking instructions provided through compromised Vendor credentials, spoofed email, or social-engineering attempts targeting the Vendor.
You must promptly notify us at [email protected] if you receive any unexpected request to change banking, payment, or contact information that you did not initiate.
8Acceptable Use
You agree not to:
- Use the Vendor Portal for any unlawful purpose or in violation of any transportation, tax, privacy, sanctions, or anti-fraud law.
- Misrepresent your identity, operating authority, insurance, safety status, equipment availability, or relationship to any shipper, broker, or consignee.
- Attempt to gain unauthorized access to other vendors’ accounts, internal Value Transports systems, or any data not addressed to you.
- Scrape, automate, or bulk-extract data from the Vendor Portal without express written permission, or run scripts that exceed reasonable rate limits for autocomplete, search, or document download endpoints.
- Upload viruses, malware, or any code or content intended to disrupt the platform or other users.
- Use the Vendor Portal in connection with cargo theft, double brokering, fraudulent invoicing, identity spoofing, illegal rebates, or any deceptive transportation practice.
9Vendor Data & License
You retain ownership of the data, documents, and content the Vendor submits to the Vendor Portal. You grant Value Transports a non-exclusive, worldwide license to host, store, reproduce, transmit, display, and process that content as needed to operate, secure, support, and improve the Vendor Portal and to administer the Vendor relationship and the underlying transportation services.
You represent that you have all rights and consents necessary to submit any third-party information you upload, including driver, contact, and shipper or consignee data, and that your submission does not violate any law or contract.
10Confidentiality & Security
Load offers, customer names, lane history, pricing, contact lists, and similar non-public information shown to you in the Vendor Portal are confidential to Value Transports and its customers. You may use them only to perform services for Value Transports and may not share, resell, or disclose them to third parties without prior written consent.
You are responsible for maintaining appropriate safeguards over your credentials, devices, email inboxes, and banking workflows. You must notify us promptly of any suspected security incident, credential compromise, or fraudulent payment-instruction request.
11Disclaimers
THE VENDOR PORTAL IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALUE TRANSPORTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Value Transports does not warrant that the Vendor Portal will be uninterrupted, error-free, or available at all times, or that load offers, transit estimates, geolocation, autocomplete suggestions, freight class hints, payment status, or AI-generated output will always be complete, current, or accurate. You must independently verify any information that could affect dispatch, compliance, claims, safety, or settlement.
12Limitation of Liability
To the maximum extent permitted by applicable law, Value Transports is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity arising out of or related to use of the Vendor Portal.
Subject to non-waivable law and any separate signed agreement, Value Transports’ liability under these Terms with respect to the Vendor Portal does not extend to cargo loss or damage, freight spoilage, theft, delay, missed appointments, accessorial disputes, chargebacks, or losses caused by inaccurate or incomplete information supplied by the Vendor or third parties — those matters are addressed by the underlying transportation documents and applicable law.
13Indemnification
The Vendor agrees to defend, indemnify, and hold harmless Value Transports and its affiliates, officers, employees, and agents from and against any claim, demand, action, loss, liability, damage, judgment, penalty, fine, cost, or expense, including reasonable attorneys' fees, arising out of the Vendor’s use of the Vendor Portal, the Vendor’s shipments, the Vendor’s violation of these Terms, or the Vendor’s violation of any law or third-party right.
14Suspension, Termination & Changes
We may suspend or terminate Vendor Portal access immediately, with or without notice, if we believe the Vendor or a Vendor user has breached these Terms, created a security risk, engaged in fraud, double-brokered freight, failed to maintain required authority or insurance, or exposed Value Transports or its customers to legal or operational harm.
Upon termination, the Vendor’s right to use the Vendor Portal ends, but provisions that by their nature should survive will remain in effect, including confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, payment, and dispute-related matters.
We may update these Terms from time to time by posting a revised version on this page. Continued use of the Vendor Portal after the effective date of the revised Terms constitutes acceptance of the updated Terms.
